Terms of Service

1. Agreement and service scope

These terms govern your use of uWarmly in the United States. By creating an account, joining a pool, or placing an order, you agree to these terms and the policies linked below. uWarmly provides personal and professional relationship workspaces, Company celebration operations, Cloud messaging, premium user-operated device sending, and manual gift fulfillment. You must be at least 18 and able to enter a binding agreement.

2. Accounts and workspace authority

Provide accurate information, protect your credentials, and use only workspaces and data you are authorized to manage. Company owners and administrators control employee rosters, policies, approvals, budgets, memberships, and integrations within their workspaces. You are responsible for your content, instructions, contact permissions, and the legality of messages or data you submit.

3. Subscriptions, renewal, and cancellation

Current plans and billing intervals appear on the Pricing page. Paid subscriptions renew automatically at the disclosed interval until canceled. You may cancel through the available Billing controls; cancellation stops future renewal, and access ordinarily continues through the paid period. Taxes may apply. Refund eligibility is governed by the Refund Policy and mandatory consumer law.

4. Messaging and consent

Cloud delivery is the default for supported messages. Delivery depends on recipient consent, provider and carrier availability, valid destinations, and the configured plan. Premium assisted device sending is user-operated: uWarmly prepares a job, but the user controls the device action and reports the outcome. You must not send spam or use uWarmly without required permission. The SMS Consent Policy explains consent, frequency, support, STOP, and revocation.

5. Manual gifts and shipping

Gift sourcing, purchasing, assembly, substitution review, shipping, and exception handling are performed through Human Operations. They are not automated procurement. Quotes and estimates may include merchandise or face value, tax, activation, actual shipping, service fees, and an optional rush fee. Organizer approval is required for a material substitution or added cost. See the Shipping Policy.

6. Order-scoped pools

A group pool funds exactly one frozen gift order. It is not a wallet, stored reusable balance, recipient payout, cash-out service, peer-to-peer or P2P transfer, reload mechanism, crypto product, custody product, or KYC service. Each contribution separately shows the gift amount, fee, and total before Checkout. At the contribution deadline, an underfunded pool enters a decision period for an allowed top-up, delivery-safe extension, or refund. If no valid decision can be completed by the operational cutoff, succeeded contributions are refunded to their original payment methods.

If only part of a contribution is needed for the frozen order, uWarmly applies that net portion, recalculates the fee on the applied portion, and refunds the unused net plus its corresponding fee to the original payment method. No remainder becomes credit or a balance.

7. Gift-card boundaries

The current public card option is a generic store gift card offered only through supported manual fulfillment in USD and for United States use. It may not be used for cash-out, recipient payout, P2P transfer, resale, or international use. The retailer's terms govern acceptance, expiration, fees, restrictions, loss, theft, and replacement; uWarmly does not make retailer-specific promises.

8. Fees

Applicable totals are disclosed before payment. Pool contribution fees include processing. Actual costs and optional rush pricing are shown separately where applicable.

9. Acceptable use

You may not use uWarmly to harass, deceive, threaten, discriminate, spam, violate privacy or messaging law, misuse employee or recipient data, facilitate fraud or money laundering, evade gift-card restrictions, resell the service or gift instruments, scrape or reverse engineer the service, introduce malware, interfere with operations, or misrepresent endorsement by a provider or brand.

10. Content, AI, and privacy

You retain rights you have in content you submit and grant uWarmly the limited permission needed to host, process, transmit, and fulfill it. AI drafts and gift suggestions may be incomplete or inaccurate; review them before approval or delivery. Our Privacy Policy explains data practices.

11. Availability, disclaimers, and liability

Service, provider, carrier, retailer, and shipping availability can change. Dates and delivery states are estimates unless expressly stated otherwise, and uWarmly cannot guarantee uninterrupted service or a carrier's delivery. To the fullest extent permitted by law, the service is provided as available and uWarmly disclaims implied warranties. Nothing in these terms excludes a warranty, remedy, or liability that applicable law does not permit us to exclude or limit.

12. Suspension and termination

You may stop using the service and cancel a subscription. uWarmly may restrict or suspend access to protect users, comply with law, address nonpayment, or respond to a material breach. Termination does not erase payment, refund, consent, suppression, audit, or transaction records that must reasonably be retained.

13. Changes

We may update these terms as the service or law changes and will identify the current effective date and provide reasonable notice of material changes.
